These terms govern the services and platform subscriptions supplied by Clicked IN FZE LLC (trading as Metricora Digital), through the website metricora.com and any related properties.
1. Contracting entity
The contracting legal entity is Clicked IN FZE LLC, registered at Business Center, Publishing City Free Zone, Sharjah, United Arab Emirates.
2. Website use and eligibility
- You must be legally able to enter into a contract.
- Information provided to us must be accurate and current.
- The website and platform must not be used unlawfully.
3. Services and scope
Services are described in the applicable proposal, statement of work, order form or subscription plan. Deliverables, exclusions, timelines and dependencies are defined per engagement.
4. Customer responsibilities
- Timely provision of required access to accounts and platforms (Google Ads, Meta, Analytics, Search Console, CMS, hosting, CRM as applicable).
- Approvals of deliverables within the agreed timeframe.
- Accurate business, product and legal information.
5. Third-party platforms
Search engines, advertising networks and other platforms operate independently. We cannot guarantee rankings, ad approvals, delivery, targeting availability or platform policy outcomes.
6. Fees, VAT and advertising spend
- All prices are shown in AED and are exclusive of 5% UAE VAT unless stated otherwise.
- Advertising spend is paid by you directly to the relevant platform unless explicitly agreed in writing.
- Third-party expenses (creative production, tools, landing-page platforms) are quoted separately.
- Deposits and retainers are due per the invoice terms. Recurring subscriptions renew automatically on the stated cycle.
- Late or failed payments may result in suspension of work and platform access, with reasonable notice.
7. Deliverables, approvals and delays
Timelines assume timely customer approvals and access. Customer-caused delays may shift delivery dates and are not grounds for automatic refunds.
8. Results and performance limitations
We do not guarantee rankings, traffic, leads, sales, advertising approvals or specific commercial outcomes. Search algorithm updates and platform decisions are outside our control.
9. Intellectual property and customer content
You retain ownership of your content, assets, accounts and data. On payment of due fees, deliverables produced specifically for you may be used by you for the intended commercial purpose. Metricora retains rights to underlying methods, templates, tools and platform code.
10. Confidentiality and data
We handle customer information confidentially. Data processing is covered in the Privacy Policy and Data Processing Notice.
11. Suspension and termination
We may suspend or terminate services for material breach, unlawful activity, non-payment or where continued delivery would create legal, security or platform risk.
12. Refunds
See the Refund and Cancellation Policy. Work completed within a billing period is generally non-refundable.
13. Liability
To the maximum extent permitted by applicable law, our aggregate liability under an engagement is limited to the fees paid to us by the customer under that engagement in the twelve months preceding the event giving rise to the claim.
14. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control.
15. Governing law and complaints
These terms are governed by the laws applicable in the United Arab Emirates, including the free zone regulations applicable to Clicked IN FZE LLC. Complaints should be sent to support@metricora.com.
